1. Agreement to Terms & Preamble
These Terms of Service ("Terms" or "Agreement") constitute a legally binding electronic agreement between the prospective buyer or inquiring party ("Buyer", "You", or "User") and the domain seller/registrant ("Seller", "We", "Us", or "Our") governing the inquiry, negotiation, outright acquisition, and transfer of the domain assets listed on this website.
This document is an electronic record published in accordance with the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Indian Contract Act, 1872. By accessing this website, submitting an inquiry, making an offer, or initiating an acquisition transaction, you unequivocally accept and agree to be bound by these Terms.
2. Domain Asset Nature & Registrant Warranty
The digital assets offered on this portal are Internet Domain Names (including freshfoodbasket.com, freshpantry.in, freshpantry.co.in, freshpantry.store, and freshpantry.online).
The Seller represents, warrants, and covenants that:
- The Seller is the lawful, exclusive registrant of the listed domains with full legal capacity, power, and authority to assign, sell, or transfer full administrative and technical title to the Buyer.
- The domains are free and clear of all third-party liens, pledges, mortgages, security interests, judicial attachments, or pending disputes.
- The domains are in good standing with their respective accredited registrars (such as GoDaddy, Namecheap, Dynadot, Hostinger) and registry operators (.IN Registry / NIXI, Verisign, Radix, etc.).
3. Inquiries, Offers & Non-Binding Status
Valuations and pricing figures displayed on this website represent estimated aftermarket valuations and invitations to negotiate ("Invitation to Treat"). They do not constitute an irrevocable or binding unilateral offer to sell.
Submitting an inquiry or acquisition offer through the website form, email, or telephone creates no binding contract until formal transaction terms (including definitive purchase price, payment milestones, fee allocations, and escrow parameters) are mutually executed in writing or confirmed through an accredited escrow platform.
The Seller reserves the right to accept, decline, or counter any offer at its sole discretion, or withdraw any domain from availability prior to the formal execution of an escrow agreement.
4. Net-to-Seller Pricing, Marketplace Commissions & Seller Channel Selection Rights
In accordance with domain aftermarket industry practices (referencing GoDaddy Aftermarket, Afternic, Dan.com, Sedo, Namecheap, and Escrow.com):
- Net-to-Seller Principle: All domain sales prices, agreed offers, and counter-offers represent the NET proceeds to be received by the Seller, free and clear of deductions.
- Seller Right to Designate Transaction Channel: The selection of an escrow provider or payment method in the website inquiry form represents a non-binding buyer preference. The Seller reserves the right to designate, require, or propose an alternative secure settlement channel (including direct domestic bank wire RTGS/NEFT/IMPS/UPI, GoDaddy/Dan checkout, Indian digital escrow like EscrowPay, or other specialized channels). The Buyer agrees to conclude the transaction through the Seller's designated secure channel or mutually agree in writing.
- Buyer-Paid Marketplace & Platform Commissions: If the Buyer elects or requires the transaction to be processed through a third-party domain marketplace or brokerage platform (such as GoDaddy, Afternic, Dan.com, Sedo, Namecheap, or Escrow.com), any marketplace commission or broker fee levied by such platform (typically 10% to 20%, e.g., GoDaddy's 15% platform commission) shall be BORNE AND PAID IN FULL BY THE BUYER as an added surcharge on top of the agreed net price.
- Payment Gateway & Merchant Processing Fees: Any transaction surcharge, payment gateway charge, credit/debit card merchant fee (e.g. 3% to 4%), PayPal merchant fee, intermediary bank wire charge, or currency conversion fee incurred during payment processing shall be BORNE ENTIRELY BY THE BUYER.
- Third-Party Escrow Service Fees: Standard escrow transaction fees (e.g. Escrow.com holding fees) shall be paid by the Buyer, unless explicitly agreed in written terms to be equally split.
- Direct Banking & Domestic Indian Settlement Advantage: Buyers who settle directly in Indian Rupees (INR) via corporate RTGS, NEFT, IMPS, or UPI, or via direct International Bank Wire, are NOT charged third-party marketplace commissions, making direct settlement the most economical pathway.
5. Escrow Procedures & Payment Settlement (Buyer Protection)
All transactions are executed with 100% mutual financial security through licensed third-party escrow services or verified direct banking settlements:
- Licensed Escrow Providers: Transactions may be facilitated via Escrow.com, Dan.com (GoDaddy Brand Network), or Sedo.com. The Buyer deposits the gross invoice amount into the regulated escrow holding account.
- Direct Banking & Domestic Indian Settlement: For transactions settled directly in Indian Rupees (INR), payments may be completed via verified corporate Real-Time Gross Settlement (RTGS), National Electronic Funds Transfer (NEFT), Immediate Payment Service (IMPS), or Unified Payments Interface (UPI).
- Seller Obligation: Upon verified confirmation that funds are securely held in escrow, the Seller delivers the domain transfer authorization code (EPP/Auth-Code) or initiates an instant registrar push.
- Inspection Period & Fund Release: The Buyer is granted an inspection window to verify that the domain has been successfully transferred into their registrar account. Upon verification, the escrow agent releases funds to the Seller.
- Cryptocurrency Exclusion: Virtual digital assets / cryptocurrencies are not accepted.
6. Domain Transfer & Delivery Timeline
Internal Registrar Account Push: When Buyer and Seller utilize the same registrar (e.g., GoDaddy to GoDaddy, Namecheap to Namecheap, Dynadot to Dynadot), ownership transfer is initiated immediately and typically completes within minutes.
Inter-Registrar Transfer (EPP Auth-Code): For transfers across different registrars, the Seller provides the EPP Authorization Code immediately upon escrow deposit. Under ICANN and .IN Registry (NIXI) transfer policies, registrar processing takes between 1 and 5 business days.
7. Multi-Domain Bundles & Portfolio Deals
Promotional package arrangements (including the FreshPantry India Duo wherein freshpantry.in is included with freshpantry.co.in, or the full 5-domain portfolio bundle) require simultaneous execution and transfer of all bundled domain assets in a consolidated transaction.
8. Trademark Due Diligence & Buyer Representations
The Buyer expressly acknowledges and agrees that they are acquiring registration rights to the generic, descriptive, or brandable domain name string.
The Buyer represents that their intended use of the domain name will not infringe upon the intellectual property, trademark, or proprietary rights of any third party in their intended jurisdiction.
The Buyer is solely responsible for conducting independent trademark clearance searches for their planned commercial goods, services, and geographic markets.
9. Limitation of Liability
To the maximum extent permitted by applicable Indian law, neither party shall be liable for any indirect, incidental, punitive, special, or consequential damages (including loss of business profits, goodwill, data, or operational interruption) arising out of or in connection with domain inquiries, negotiations, or transfers.
The Seller’s total cumulative aggregate liability for any claim arising out of or related to a domain transaction shall not exceed the actual acquisition amount paid by the Buyer to the Seller for the specific domain asset in question.
10. Governing Law, Dispute Resolution & Jurisdiction (Courts of Telangana)
This Agreement, its interpretation, validity, performance, and any dispute, controversy, or claim arising out of or relating to this portal, domain inquiries, or sales ("Dispute") shall be governed strictly by and construed in accordance with the substantive laws of the Republic of India, without regard to conflict of law principles.
In the event of any Dispute arising between the parties, the parties shall first endeavor to resolve such Dispute amicably through good-faith mutual negotiations.
If the Dispute cannot be settled through negotiation within thirty (30) days, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration shall be Hyderabad, Telangana, India. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, and proceedings shall be in the English language.
Subject to arbitration, the courts of competent jurisdiction located in Hyderabad, Telangana, India shall have exclusive territorial and subject-matter jurisdiction over any legal proceedings, suits, or claims arising under or in connection with this Agreement.
11. Severability & Contact Information
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.
